Terms and Conditions
These Terms and Conditions (the “Terms”) are a binding agreement between Meridian Go, LLC, a Florida limited liability company (“Meridian,” “we,” “us,” or “our”), and each person or entity that accesses or uses MeridianGo.com, any related website, application, account, feature, content, or service offered by Meridian (collectively, the “Services”).
By creating an account, clicking to accept, logging in, purchasing or using a Service, or otherwise accessing the Services, you agree to these Terms and our Privacy Policy. If you use the Services for an employer, vessel, recruiting agency, management company, or other organization, you represent that you have authority to bind that organization. If you do not agree, do not use the Services.
1. Eligibility and Accounts
You must be at least 18 years old, or the age of legal majority where you live, to create or control an account. Meridian may permit a person who is at least 16 years old to use limited crew-facing features with the consent and supervision of a parent or legal guardian where permitted by law.
You must provide accurate, current, and complete information and keep it updated. You are responsible for safeguarding your login credentials and for all activity through your account. Accounts and credentials may not be sold, transferred, shared, or used by unauthorized persons. Notify Meridian promptly of suspected unauthorized access.
2. The Meridian Platform
Meridian provides technology and related services that help crew, employers, vessel representatives, yacht management companies, recruiters, and other authorized users connect, communicate, advertise opportunities, search profiles, manage candidates, request or provide references, and use other recruitment-related tools.
Except where Meridian expressly agrees otherwise in writing, Meridian is a platform and introduction service. Meridian is not the employer, employee, agent, partner, joint venturer, or representative of any user and does not control hiring, compensation, working conditions, immigration compliance, vessel operations, or employment decisions. Employers and recruiters make their own decisions and are solely responsible for appropriate due diligence.
3. Definitions
- “Candidate” or “Crew” means a person who creates a profile, seeks work, applies for a position, communicates about work, or uses crew-facing Services.
- “Employer” means any person or entity using the Services to identify, contact, evaluate, recruit, engage, or hire a Candidate, including a vessel owner, captain, senior crew member, family office, or other hiring representative.
- “Recruiter” includes a recruiting agency, placement professional, yacht management company, or other person or entity that uses Candidate information for recruitment or placement.
- “User Content” means information, text, photographs, videos, documents, CVs, references, messages, job postings, and other material submitted to or through the Services.
- “Meridian-sourced Candidate” means a Candidate whom an Employer or Recruiter discovers, accesses, receives, contacts, evaluates, interviews, or hires through or as a result of the Services or information obtained from the Services.
4. Crew and Candidate Terms
Crew must provide truthful and current profile, work history, credential, availability, eligibility, and contact information. Crew authorize Meridian to display or provide profile information to authorized Employers and Recruiters according to account settings and the Privacy Policy. Crew are responsible for deciding what information to provide and for independently evaluating every opportunity and hiring party.
Meridian does not guarantee interviews, offers, employment, compensation, working conditions, the identity or legitimacy of another user, or the accuracy of any posting. Crew must never pay an Employer or Recruiter to obtain a job through Meridian and should report suspicious conduct promptly.
Crew may delete their account at any time by logging in and using the account-deletion option. Account deletion removes or deactivates the Crew profile from active use, subject to the retention provisions in the Privacy Policy and information previously shared with other users.
5. Employer Terms
Employers may use Candidate information only for legitimate recruitment and employment purposes and only in compliance with applicable employment, anti-discrimination, immigration, privacy, data protection, maritime, and other laws. Employers must independently verify identity, references, experience, qualifications, credentials, medical or fitness requirements, background information, visas, work authorization, and suitability.
Employers may not share, resell, publish, scrape, compile, or use Candidate data for marketing, solicitation, or any unrelated purpose. An Employer must promptly close or update a job posting that is filled, cancelled, materially changed, or no longer available.
6. Recruiter and Management Company Terms
Recruiters and management companies must be lawfully organized or authorized to operate where required. They may access and use Candidate information only to fill bona fide positions for clients they are authorized to represent. They must keep Candidate information confidential and may disclose it only as reasonably necessary for the applicable recruitment process and as permitted by law.
A Recruiter may not use the Services to build or enrich a competing database, solicit Meridian users for unrelated services, bypass access controls, or misrepresent a Candidate, client, opportunity, fee arrangement, or hiring result.
7. Job Postings and Communications
Job postings must describe a genuine opportunity accurately and may not be deceptive, discriminatory, unlawful, sexually exploitative, fee-based to the Candidate, or promotional. Meridian may edit, reject, pause, or remove a posting or communication that violates these Terms, creates risk, or may harm users or Meridian.
Users are responsible for their communications and may not harass, threaten, deceive, spam, impersonate, or send unlawful or unsolicited promotional communications. Meridian may use automated systems to deliver messages, alerts, reminders, and matching information, but does not guarantee delivery.
8. Fees, Hires, and Payment
Certain Services are free, subscription-based, transaction-based, or otherwise subject to fees. The applicable price, billing basis, taxes, payment timing, and material commercial terms presented on the Website, within your account, on an order or checkout screen, in a confirmation, proposal, separate agreement, or invoice are incorporated into these Terms. If those specific terms conflict with this Section, the specific terms control.
If you hire or engage a Meridian-sourced Candidate, you agree to notify Meridian promptly and pay the applicable Meridian fee. “Hire or engage” includes employment, placement, contract work, freelance or seasonal work, daywork, trial work, consulting, or another paid engagement by you, an affiliated person or entity, a represented client, or another party to whom you introduced or supplied the Candidate. The payment obligation applies whether the final communication, interview, agreement, or payment occurs on or outside the Services.
Failure to click a hire button, close a posting, report the hire, or complete the transaction through the Services does not eliminate a fee that is otherwise due. You agree to provide accurate information reasonably necessary to confirm the engagement and calculate or administer the applicable fee. Meridian may suspend access while an amount is past due or a hiring result is being reasonably investigated.
Unless different terms are presented or agreed in writing, invoices are due upon receipt. You must raise a good-faith billing dispute within 30 days after the charge or invoice date and provide supporting details. Undisputed amounts remain payable. You are responsible for applicable taxes and reasonable third-party collection costs and legal fees to the extent permitted by law. Fees are nonrefundable except as expressly stated in the applicable offer or required by law.
9. Trials, Subscriptions, and Changes
A trial or promotional period may be limited, changed, or withdrawn as described when offered. Subscription Services continue for the period shown at purchase and may renew if disclosed and authorized at enrollment. You may cancel future renewal as described in your account or the applicable purchase terms; cancellation does not erase fees already earned or due.
Meridian may change prospective prices or features. A price change will not retroactively alter a fee already earned, a paid period already purchased, or a specific written agreement unless that agreement permits the change.
10. References, Verification, and Screening
Meridian may facilitate reference requests, reference responses, credential uploads, verification information, matching, ranking, or screening tools. These tools are informational only. Meridian does not warrant that any information is complete, accurate, authentic, current, or sufficient for a hiring decision. A reference response reflects the provider’s views, not Meridian’s.
Users must obtain any consent required before submitting another person’s information. Employers and Recruiters remain solely responsible for lawful screening, notices, authorizations, adverse-action procedures, and hiring decisions. Unless Meridian expressly states otherwise in writing, Meridian is not providing a consumer report or acting as a consumer reporting agency.
11. User Content and License
You retain ownership of your User Content. You grant Meridian a worldwide, nonexclusive, royalty-free license to host, store, reproduce, format, process, analyze, transmit, display, and otherwise use User Content as necessary to operate, secure, improve, promote, and provide the Services, comply with law, and enforce these Terms. This license ends when the content is deleted from active systems, except for lawful retention, backups, de-identified information, and content already shared with others.
You represent that you have all rights and permissions needed to submit User Content and that it is accurate, lawful, noninfringing, and not confidential information you are prohibited from sharing. Meridian may remove or restrict User Content at any time.
12. Acceptable Use
You may not:
- scrape, crawl, harvest, bulk-download, copy, republish, index, or create a database from the Services or Candidate information;
- use bots, automated tools, artificial intelligence systems, or other means to access, extract, train on, analyze, replicate, or compete with the Services without Meridian’s written permission;
- circumvent access controls, conceal hiring activity, interfere with the Services, probe security, introduce malicious code, or misuse another account;
- reverse engineer, copy, imitate, frame, mirror, resell, sub-license, or commercially exploit the Services or Meridian Content except as expressly authorized;
- use the Services unlawfully, deceptively, abusively, or in a way that infringes another person’s rights or harms Meridian’s reputation or operations.
13. Intellectual Property
The Services, Meridian name and marks, software, designs, workflows, databases, selection and arrangement of content, and all Meridian-created content are owned by Meridian or its licensors and protected by law. Subject to these Terms, Meridian grants you a limited, revocable, nontransferable, nonexclusive license to use the Services for their intended purpose. No other rights are granted.
14. Third-Party Services
The Services may link to or integrate third-party websites, messaging services, payment processors, or other providers. Meridian does not control and is not responsible for third-party services, content, availability, security, or privacy practices. Your use of them may be governed by separate terms.
Meridian processes personal information as described in its Privacy Policy and Cookie Policy. Nothing in these Terms limits any nonwaivable rights you have under the GDPR, UK GDPR, ePrivacy laws, or other applicable data-protection law.
15. Suspension and Termination
You may stop using the Services at any time. Meridian may restrict, suspend, or terminate access, remove content, or preserve information if Meridian reasonably believes it is necessary to protect users or Meridian, investigate misconduct, comply with law, address nonpayment, or enforce these Terms. Termination does not affect accrued payment obligations or provisions that by their nature should survive, including ownership, confidentiality, disclaimers, limitations, indemnity, and dispute terms.
16. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” MERIDIAN DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, AND RESULTS. MERIDIAN DOES NOT GUARANTEE ANY CANDIDATE, USER, JOB, HIRE, REFERENCE, VERIFICATION, COMMUNICATION, OR OUTCOME.
17. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MERIDIAN AND ITS OWNERS, AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, LOST PROFITS, LOST DATA, LOSS OF OPPORTUNITY, REPUTATIONAL HARM, OR DAMAGES ARISING FROM A USER, CANDIDATE, EMPLOYER, RECRUITER, JOB, ENGAGEMENT, OR THIRD-PARTY SERVICE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MERIDIAN’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF US$100 OR THE AMOUNT YOU PAID MERIDIAN FOR THE SERVICE GIVING RISE TO THE CLAIM DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY. Some jurisdictions do not allow certain exclusions or limitations, so portions of this Section may not apply to you.
18. Indemnification
To the maximum extent permitted by law, you will defend, indemnify, and hold harmless Meridian and its owners, affiliates, officers, employees, contractors, and agents from claims, liabilities, losses, damages, judgments, penalties, costs, and reasonable attorneys’ fees arising from your User Content, use or misuse of the Services, employment or recruitment activity, violation of these Terms or law, infringement of another person’s rights, or dispute with another user.
19. Governing Law and Disputes
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. Unless applicable law requires otherwise, the state and federal courts located in Broward County, Florida have exclusive jurisdiction over disputes arising from or relating to these Terms or the Services, and each party consents to those courts.
20. Changes to These Terms
Meridian may update these Terms from time to time. The updated Terms will be posted with a revised effective date. If a change is material, Meridian may provide additional notice as required by law. Continued use after the effective date constitutes acceptance, except where law requires affirmative consent.
21. General Terms
These Terms, the Privacy Policy, any specific terms presented for a Service, and any signed agreement between you and Meridian constitute the entire agreement concerning the Services. If a signed agreement conflicts with these Terms, the signed agreement controls for its subject matter. If any provision is unenforceable, it will be modified to the minimum extent necessary and the remainder will continue. Meridian’s failure to enforce a provision is not a waiver. You may not assign these Terms without Meridian’s consent; Meridian may assign them in connection with a reorganization, financing, sale, or transfer of the business. Electronic notices and acceptances satisfy writing requirements to the extent permitted by law.
